Advertising on www.strayweddings.com or in "Destination Weddings: The Resort Report" is subject to the following terms. By agreeing to advertise on www.strayweddings.com or in "Destination Weddings: The Resort Report" you agree to these terms.
The Advertiser shall provide to Stray Travel Publications, Inc. all necessary copy, graphic files, audio files, logos and/or banners (the "Advertising Materials"). The Advertiser hereby grants to Stray Travel Publications, Inc. a worldwide license to use, sub-license, disclose, publicly display, reproduce, modify, adapt, transmit, and distribute the Advertising Materials solely for purposes of complying with Stray Travel Publications, Inc.'s obligations hereunder.
All Advertising Materials shall be subject to Stray Travel Publications, Inc.'s approval and shall conform to Stray Travel Publications, Inc.'s specifications and quality guidelines. Stray Travel Publications, Inc. reserves the right not to post or include any Advertising Materials submitted by the Advertiser and has the absolute right to reject or remove any advertisement or any URL embodied within any such Advertising Materials. Stray Travel Publications, Inc. retains full editorial rights over listings to be placed on www.strayweddings.com. Stray Travel Publications, Inc. assumes no responsibility or liability for any loss of or damage to Advertising Materials in transit to or from, or while in the possession of Stray Travel Publications, Inc. The Advertiser acknowledges that it owns no interest in www.strayweddings.com, including any intellectual property rights or any derivative works based thereon; provided, however, that the Advertiser shall retain ownership of all Advertising Materials in the form originally provided to Stray Travel Publications, Inc.
The Advertiser represents and warrants to Stray Travel Publications, Inc. that (i) it holds all the necessary rights to permit the use of the Advertising Materials by Stray Travel Publications, Inc. in accordance with this agreement; (ii) neither the use, reproduction, distribution, transmission, or display of Advertising Materials submitted, or incorporating materials or content provided, nor any material to which users can link to through www.strayweddings.com, the Advertising Materials or other company-sponsored advertising vehicles, will violate any laws or any rights of any third parties, including, but not limited to, infringement of any copyright, patent, trademark, or other right, false advertising, unfair competition, defamation, invasion of privacy or rights of celebrity, or any other right of any person or entity. All Advertising Materials submitted for reproduction are accepted only at the Advertiser's risk. The Advertiser agrees to indemnify Stray Travel Publications, Inc. against all costs and expenses, including reasonable legal fees and expenses, in connection with any claims made by any third party that the Advertising Materials infringe any intellectual property or other rights of any third person or in connection with any claims related to the business, goods, or services of the Advertiser.
Stray Travel Publications, Inc. reserves the right to decline any advertising for any reason and/or remove the Advertiser at any time. Stray Travel Publications, Inc. shall not be liable in any way for failure to publish an advertisement. The Advertiser shall be entitled to a pro rata refund of any pre-paid amounts with respect to a particular advertisement. If the Advertiser cancels the advertisement during the contracted term a refund will not be provided.
Stray Travel Publications, Inc. shall be under no liability for any errors in the advertisement, typographical or otherwise, for which it may be responsible except for the cost of that portion of ad space within which the error first appeared.
In no event will Stray Travel Publications, Inc. be liable to the Advertiser for any indirect, special, incidental, consequential or punitive damages, whether based on breach of contract, tort (including negligence), or otherwise, even if Stray Travel Publications, Inc. shall have been advised of the possibility of such damages. Stray Travel Publications, Inc.'s liability to the Advertiser for any act, error or omission (including any error in, or failure to display, any Advertising Materials), regardless of whether the claim is based on contract or tort, shall not exceed the amount paid by the Advertiser with respect to the portion of advertising to which such act, error or omission occurred.
The Advertiser is solely responsible for all goods and services offered, distributed or sold by the Advertiser and shall be solely responsible for all billing, shipping and fulfillment thereof, returns, and customer services and the payment of all sales, use, excise and other taxes imposed with respect to the sale of such goods and services.
Neither party will be liable for any delay or default in the performance of its obligations (including delay in the delivery of www.strayweddings.com) under this agreement (other than for non-payment by the Advertiser) if such delay or default is caused by conditions beyond its reasonable control, including, but not limited to, fire, flood, accident, telecommunications failure, storms and/or hurricanes, acts of war, government interference, strikes and/or walk-outs.
You acknowledge that we enable users to rate and provide written reviews on the business(es) listed in your ads, including the business's services and/or products, and that such ratings and reviews will be publicly displayed. By participating on StrayWeddings.com, you agree to be subject to such rating and review features, and that we shall have no liability in connection therewith nor any obligation to remove any reviews or ratings.
Stray Travel Publications, Inc. reserves the right to revise at any time with notice to the Advertiser any rates, terms, and conditions of advertising on www.strayweddings.com.
